3. Modifiche Eventuali informazioni o dati sulle caratteristiche e o specifiche tecniche dei Prodotti contenute in d pliants listini prezzi cataloghi o documenti similari saranno vincolanti solo nella misura in cui tali dati siano stati espressamente richiamati dal Contratto Il Venditore si riserva di apportare ai Prodotti le modifiche che senza alterare le caratteristiche essenziali dei Prodotti dovessero risultare necessarie o opportune Termini di consegna Qualora il Venditore preveda di non essere in grado di consegnare i Prodotti alla data pattuita per la consegna egli dovr avvisarne tempestivamente il Compratore per iscritto indicando ove possibile la data di consegna prevista E inteso che ove il ritardo imputabile al Venditore superi le 6 settimane il Compratore potr risolvere il Contratto relativamente ai Prodotti di cui la consegna ritardata con un preavviso di 10 giorni da comunicarsi per iscritto anche via telefax al Venditore Non si considera imputabile al Venditore l eventuale ritardo dovuto a cause di forza maggiore come definite all art 9 o ad atti od omissioni del Compratore ad es mancata comunicazione di indicazioni necessarie per la fornitura dei Prodotti In caso di ritardo nella consegna imputabile al Venditore il Compratore potr richiedere previa messa in mora per iscritto del Venditore il risarcimento del danno effettivo da lui dimostrato entro il limite massimo del 5 del prezzo dei Prodotti
4. a di gravi lesioni personali o di decesso Per applicazioni safety critical si intendono a titolo esemplificativo e non limitativo i dispositivi e le apparecchiature salva vita le apparecchiature o i sistemi per la gestione di impianti nucleari e le armi i prodotti WIICOM SRL non sono progettati n sono destinati ad essere utilizzati in applicazioni od ambienti militari od aerospaziali n in applicazioni od ambienti automobilistici PAGE 5 of 10 12 12 1 13 13 1 14 14 1 15 15 1 VER 1 Wiicom CONDIZIONI amp TERMINI Alb ITALIANO connect everything Il cliente riconosce e conviene che l eventuale utilizzo di prodotti WIICOM SRL nelle suddette applicazioni od ambienti avverr a rischio esclusivo del cliente e che quest ultimo sar esclusivamente responsabile del rispetto di tutti i requisiti legali e normativi in relazione a tale utilizzo Conformit alle disposizioni di legge Il cliente riconosce e conviene di avere la responsabilit esclusiva del rispetto di tutti i requisiti legali normativi e di sicurezza relativi ai propri prodotti e ai prodotti WIICOM SRL eventualmente utilizzati nelle applicazioni del cliente indipendentemente dal fatto che WIICOM SRL fornisca informazioni relative alle applicazioni o servizi di assistenza indennizzi Il cliente si impegna a tutelare mantenere indenne e manlevare WIICOM SRL e i produttori e distributori di quest ultima da qualsiasi pe

8. e Warranty for defects The Seller undertakes to remedy any defects lack of quality or non conformity of the Products for which he is liable occurring within twelve months from delivery of the Products provided such defects have been timely notified in accordance with art 4 3 The Seller will have the choice between repairing or replacing the Products which have shown to be defective The Products repaired or replaced under the PAGE 8 of 10 7 2 7 3 8 1 9 1 9 3 10 10 1 11 1 E wiicom 7 0 ENGLISH connect everything warrany will be submitted to the same guarantee for a period of six months starting from the date of repair or replacement The Seller does not warrant that the Products conform to special specifications or technical features or that they are suitable for particular usages except to the extent such characteristics have been expressly agreed upon in the Contract or in documents referred to for that purpose in the Contract Except in case of fraud or gross negligence of the Seller the Seller s only obligation in case of defects lack of quality or non conformity of the Products will be that of repairing or replacing the defective Products It is agreed that the above mentioned guarantee i e The obligation to repair or replace the Products is in lieu of any other legal guarantee or liability with the exclusion of any other Seller s liability whether contractual
9. e accreditato sul conto del Venditore almeno 30 giorni prima della data di consegna convenuta Ove le parti abbiano pattuito il pagamento mediante credito documentario il Compratore dovr salvo diverso accordo curare che un credito documentario irrevocabile emesso conformemente alle Norme ed Usi uniformi della CCI relativi ai Crediti Documentari Pubblicazione n 500 venga notificato al Venditore almeno 30 giorni prima della data di consegna convenuta Salvo diverso accordo il credito documentario dovr essere confermato da una banca Italiana gradita al Venditore ed essere pagabile a vista Ove le parti abbiano convenuto il pagamento contro documenti il pagamento avverr salvo diverso accordo Documenti Contro Pagamento Salvo diverso accordo eventuali spese o commissioni bancarie dovute in relazione al pagamento saranno a carico del Compratore In caso di ritardo di pagamento rispetto alla data pattuita il Compratore sar tenuto a corrispondere al Venditore un interesse di mora pari al tasso di sconto in vigore nel paese del Venditore pi tre punti percentuali a partire dal momento in cui il pagamento sarebbe dovuto avvenire Garanzia per vizi Il Venditore si impegna a porre rimedio a qualsiasi vizio mancanza di qualit o difetto di conformit dei Prodotti a lui imputabile verificatosi entro dodici mesi dalla consegna dei Prodotti purch lo stesso gli si PAGE 4 of 10 7 2 7 3 8 1 9 3 10 10 1 11
10. e lack of indications which are necessary for the supply of the Products shall not be considered as a delay for which the Seller is responsible 3 3 In case of delay in delivery for which the Seller is responsible the Buyer may request after having summoned in writing the the Seller a compensation for the damages actually suffered within the maximum amount of 5 of the price of the Products the delivery of which has been delayed 3 4 Except in case of fraud or gross negligence the payment of the amounts indicated in art 4 3 excludes any further compensation for damages arising out of non delivery or delayed delivery of the Products 4 Delivery and shipment Complaints 4 1 Except as otherwise agreed the supply of the goods will be Ex Works even if it is agreed that the Seller will take care in whole or in part of the shipment 4 2 In any case whatever the delivery term agreed between the parties the risks will pass to the Buyer at the latest on delivery of the goods to the first carrier 4 3 Any complaints relating to packing quantity number or exterior features of the Products apparent defects must be notified to the Seller by registered letter with return receipt within 7 days from receipt NOTE PAGE VER 1 7 of 10 4 4 5 1 6 2 6 3 6 5 6 6 6 7 NOTE VER 1 E wiicom 7 0 ENGLISH connect everything of the Products failing such notification the Purchaser s right to claim the abo
11. ed use It is forbidden to use WIICOM SRL products in safety critical applications where it is reasonably foreseeable that a not proper functioning of the product WIICOM SRL can cause serious personal injuries or death Safety critical applications are for example but not limited to devices and life saving equipments equipment or systems for the management of nuclear power plants and weapons WIICOM SRL products are not designed or intended to be used in military or aerospace applications or environments or in applications or automotive environments The Customer acknowledges and agrees that any use of WIICOM SRL products in such applications or environments will be at the sole risk of the customer and that the latter will be exclusively responsible for compliance with all legal and regulatory requirements in connection with such use PAGE 9 of 10 12 12 1 13 13 1 14 14 1 15 15 1 VER 1 m wiicom G e 0 ENGLISH connect everything Accordance with the provisions of law The Customer acknowledges and agrees to take sole responsibility for compliance with all legal regulatory and safety for its products and WIICOM SRL products might be used in customer applications regardless of whether WIICOM SRL provides relevant information to applications or support services Compensation The customer agrees to protect indemnify and hold harmless WIICOM SRL producers and distributors of t
12. ervenuto a quest ultimo il completo pagamento Forza maggiore Ciascuna parte potr sospendere l esecuzione dei suoi obblighi contrattuali quando tale esecuzione sia resa impossibile o irragionevolmente onerosa da un impedimento imprevedibile indipendente dalla sua volont quale ad es sciopero boicottaggio serrata incendio guerra dichiarata o non guerra civile sommosse e rivoluzioni requisizioni embargo interruzioni di energia ritardi nella consegna di componenti o materie prime La parte che desidera avvalersi della presente clausola dovr comunicare immediatamente per iscritto all altra parte il verificarsi e la cessazione delle circostanze di forza maggiore Qualora la sospensione dovuta a forza maggiore duri pi di sei settimane ciascuna parte avr il diritto di risolvere il presente contratto previo un preavviso di 10 giorni da comunicarsi alla controparte per iscritto Foro Competente Per qualsiasi controversia derivante dal presente contratto o collegata allo stesso sar esclusivamente competente il Foro della sede del Venditore Tuttavia in deroga a quanto stabilito sopra il Venditore ha comunque la facolt di portare la controversia davanti al giudice competente presso la sede del Venditore Utilizzo non autorizzato E vietato l utilizzo di prodotti WIICOM SRL in applicazioni safety critical qualora sia ragionevolmente prevedibile che il mancato corretto funzionamento del prodotto WIICOM SRL possa essere caus
13. governed by the United Nations Convention on the International Sales of Goods and with respect to questions not covered by such Convention by the laws of Italy 1 2 Any reference made to trade terms such as EXW CIP etc is deemed to be made to Incoterms published by the International Chamber of Commerce and current at the date of conclusion of this 2 Characteristics of the Products Modifications 2 1 Any information or data relating to technical features and or specifications of the Products contained in d pliants price lists catalogues and similar documents shall be binding only to the extent they are expressly referred to in the Contract 22 The Seller may make any change to the Products which without altering their essential features appear to be necessary or suitable 3 Time of delivery 3 1 If the Seller expects that he will be unable to deliver the Products at the date agreed for delivery he must inform the Buyer within the shortest delay in writing of such occurrence stating as far as possible the estimated date of delivery It is agreed that if a delay for which the Seller is responsible lasts more than 6 weeks the Buyer will be entitled to terminate the Contract with reference to the Products the delivery of which is delayed by giving a 10 days notice to be communicated in writing also by telefax to the Seller 3 2 Any delay caused by force majeure as defined in art 9 or by acts or omissions of the Buyer e g th
14. he latter from any losses damages liabilities and expenses incurred by third parties and caused by i an actual breach by the customer of the declarations and warranties contained in these terms and conditions or ii willful misconduct or gross negligence on the part of the customer Exclusion of incidental consequential and certain others damages To the fullest extent permitted by law WIICOM SRL producers and distributors of the latter can not be held liable to the customer or any third part for any special collateral indirect punitive incidental and consequential or exemplary damages including by way of example and without limitation damages resulting from loss of profits loss of confidential or other information business interruption personal injury invasion of privacy non compliance with obligations including the good faith and reasonable care negligence and any other pecuniary loss or not arising from or relating to the use or inability to use the products or services or the provision of or failure to provide services howsoever caused or under or in relation to any provision of the contract regardless of whether WIICOM SRL has been advised of the possibility of such damages This paragraph shall remain in full force and effect even after the end of the warranty period Limitation of liability and remedies Even in the presence of damages and costs including attorneys fees that may be caused and sustained by the
15. or non contractual which may anyhow arise out of or in relation with the Products supplied e g compensation of damages loss of profit recall campaigns etc Retention It is agreed that the Products delivered remain the Seller s property until complete payment is received by the Manufacturer Force majeure Either party shall have the right to suspend performance of his contractual obligations when such performance becomes impossible or unduly burdensome because of unforeseeable events beyond his control such as strikes boycotts lock outs fires war either declared or not civil war riots revolutions requisitions embargo energy black outs delay in delivery of components or raw materials The party wishing to make use of the present clause must promptly communicate in writing to the other party the occurrence and the end of such force majeure circumstances Should the suspension due to force majeure last more than six weeks either party shall have the right to terminate the Contract by a 10 days written notice to the counterpart Jurisdiction The competent law courts of the place where the Seller has his registered office shall have exclusive jurisdiction in any action arising out of or in connection with this contract However as an exception to the principle hereabove the Seller is in any case entitled to bring his action before the competent court of the place where the Distributor has his registered office Unauthiriz
16. r Demand Guarantees by a primary Italian bank and payable against on simple declaration by the Seller that he has not received payment within the agreed term If the parties have agreed on payment in advance without further indication it will be assumed that such advance payment refers to the full price Unless otherwise agreed the advance payment must be credited to the Seller s account at least 30 days before the agreed date of delivery 6 4 If the parties have agreed on payment by documentary credit the Buyer must unless otherwise agreed take the necessary steps in order to have an irrevocable documentary credit to be issued in accordance with the ICC Uniform Customs and Practice for Documentary Credits Publication n 500 notified to the Seller at least 30 days before the agreed date of delivery Unless otherwise agreed the documentary credit shall be confirmed by an Italian bank agreeable to the Seller and will be payable for sight If the parties have agreed on payment against documents documentary collection payment will be unless otherwise agreed Documents Against Payment Unless otherwise agreed any expenses or bank commissions due with respect to the payment shall be for the Buyer s account In case of delay in payment with respect to the agreed delivery date the Buyer shall pay to the Seller interest equal to the discount rate of the country of the Seller increased by three points starting from the date on which payment was du
17. rdita danno responsabilit e spesa incorsi da terzi e causati da i una violazione effettiva da parte del cliente delle dichiarazioni e garanzie contenute nei presenti termini e condizioni o ii dolo o colpa grave da parte del cliente Esclusione di danni incidentali consequenziali e di alcuni altri danni Entro i limiti massimi previsti dalla legge WIICOM SRL e i produttori e distributori di quest ultima non potranno essere ritenuti responsabili nei confronti del cliente o di terzi per danni speciali collaterali indiretti punitivi incidentali consequenziali o esemplari ivi inclusi a titolo esemplificativo e non limitativo i danni derivanti da mancato guadagno perdita di informazioni riservate o di altre informazioni interruzione di attivit lesioni personali violazione della privacy non ottemperanza ad obblighi inclusi la buona fede e la ragionevole diligenza negligenza e qualsiasi altra perdita di natura pecuniaria e non derivanti o comunque relativi all utilizzo o incapacit di utilizzo dei prodotti o dei servizi di assistenza o alla fornitura o mancata fornitura dei servizi di assistenza o comunque cagionati ai sensi di o in relazione a qualsiasi disposizione del contratto indipendentemente dal fatto che WIICOM SRL sia stata informata del possibile verificarsi di tali danni Il presente paragrafo rimarr pienamente valido ed efficace anche dopo il termine del periodo di garanzia Limitazione di responsabilit e mezzi
18. tardare i pagamenti dei Prodotti oggetto di contestazione n tanto meno di altre forniture Prezzi Salvo patto contrario i prezzi si intendono per Prodotti imballati secondo gli usi del settore in relazione al mezzo di trasporto pattuito resa franco fabbrica essendo inteso che qualsiasi altra spesa o onere sar a carico del Compratore Condizioni di pagamento Ove le parti non abbiano specificato le condizioni di pagamento il pagamento dovr essere effettuato come indicato al successivo art 6 2 Ove le parti abbiano pattuito il pagamento posticipato questo dovr essere effettuato in assenza di diversa specificazione entro 30 gg data fattura mediante bonifico bancario Si considera effettuato il pagamento quando la somma entra nella disponibilit del Venditore presso la sua banca in Italia Ove sia stato previsto che il pagamento debba essere accompagnato da una garanzia bancaria il Compratore dovr mettere a disposizione almeno 30 giorni prima della data di consegna una garanzia bancaria a prima domanda emessa conformemente alle Norme Uniformi per le Garanzie a Domanda della CCI da primaria banca italiana e pagabile contro semplice dichiarazione del Venditore di non aver ricevuto il pagamento entro i termini pattuiti Ove le parti abbiano pattuito il pagamento anticipato senza ulteriori indicazioni si presume che il pagamento anticipato si riferisca all intero prezzo Salvo diverso accordo il pagamento anticipato dovr esser
19. ve defects will be forfeited Any complaints relating to defects which cannot be discovered on the basis of a careful inspection upon receipt hidden defects shall be notified to the Seller by registered letter with return receipt within 7 days from discovery of the defects and in any case not later than 12 months from delivery failing such notification the Purchaser s right to claim the above defects will be forfeited It is agreed that any complaints or objections do not entitle the Buyer to suspend or to delay payment of the Products as well as payment of any other supplies Prices Unless otherwise agreed prices are to be considered Ex Works for Products packed according to the usages of the trade with respect to the agreed transport means It is agreed that any other cost or charge shall be for the account of the Buyer Payment If the parties have not specified the payment conditions payment must be made as indicated under article 6 2 hereunder If the parties have agreed on payment on open account payment must be made unless specified otherwise within 30 days from the date of invoice by bank transfer Payment is deemed to be made when the respective sum is at the Seller s disposal at its bank in Italy If it is agreed that payment must be backed by a bank guarantee the Buyer must put at the Buyer s disposal at least 30 days before the date of delivery a first demand bank guarantee issued in accordance with the ICC Uniform Rules fo
