99. diagnostic and repair service within two business days of trouble report Contractor shall make available after hours or weekend service at a premium rate not to exceed 1 5 times normal hourly rates minus normal hourly rates AV Contractor must also provide technical support via telephone at no charge during the warranty period The AV Contractor shall maintain engineering and service departments capable of rendering advice regarding installation and final adjustment of the systems During the warranty period the AV Contractor shall provide for three non emergency service and maintenance calls by technically qualified personnel without additional charge Calls shall be at least two hours at the site and shall be prearranged at least two weeks prior with the Owner These service and maintenance calls shall be in addition to any warranty required service calls and shall commence every four 4 months after the date of final acceptance by the Owner See sub section Maintenance and Operating Manuals under section Submittals All tests adjustments or replacements shall be made in the presence of Owner s technician or other person designated by the Owner s Representative Upon completion of each call a report will be provided to clearly indicate any replacements or adjustments and any evidence of tampering This project includes Owner provided equipment Owner provided equipment is indicated in the Equipment Specification section of this document AV Contr

143. t abide by all terms and conditions under this Contract If Subcontractors are to be used the Contractor must clearly describe and explain their participation in support of this contract Independent Supplier Status The Contractor agrees that it is an independent supplier with respect to the products and services provided pursuant to this agreement Nothing in this agreement shall be considered to create the relationship of employer and employee between the parties Amendments to Contract Terms and Conditions WTC reserve the right to change modify or cancel the terms of a contract by providing the Contractor a minimum of thirty 30 days advance written notice Any and all changes to the terms and conditions of a contract with a Customer will be binding only through formal written addendum In instances of contract breach by a Contractor or in instances where the actions or products of a Contractor pose a health risk or safety issue contract termination can occur immediately with no advance notice provided to the Contractor See Contract Termination below Right to Negotiate Contract Terms WTC reserves the right to negotiate terms including scope of work pricing and terms and conditions with Bidders prior to final award of the RFB process and entering into a final contract agreement Contract Termination WTC may terminate this Contract at any time without cause by providing 15 days written notice to the Contractor If the Contrac
